  1. MESSAGE PAD END USER LICENCE AGREEMENT

  4. This is a legal agreement between you (one designated
  5. individual) and Io Development.  By using the Message
  6. Pad program, any of the data files associated with it,
  7. Setup files necessary for its installation, or any of
  8. its documentation files (all of which to be defined
  9. herein after as "SOFTWARE"), you are agreeing to be
  10. bound by the terms of this Agreement.
  11.  
  12. This Licence Agreement is governed and bound by the
  13. laws of England and Wales.
  14.  
  15. In case of any part of this Licence Agreement being
  16. held to be invalid or illegal, it shall be null and
  17. void to the extent of the illegality only.

  22.    WARRANTIES
  23.  
  24.    Io Development expressly disclaims any warranty for
  25.    the SOFTWARE.  The SOFTWARE is provided "as is"
  26.    without warranty of any kind, either expressed or
  27.    implied, including, without limitation to, any
  28.    implied warranties of merchantability or fitness for
  29.    a particular purpose.  The entire risk arising out
  30.    of use or performance of the SOFTWARE remains with
  31.    you.

  36. USE OF SOFTWARE
  37.  
  38. By using the SOFTWARE, you are granting permission for
  39. data external to the SOFTWARE to be modified in order
  40. that the SOFTWARE will work correctly.

  43. NO LIABILITY FOR CONSEQUENTIAL DAMAGES
  44.  
  45. In no event shall Io Development or its suppliers be liable
  46. for any damages whatsoever.  Including, without
  47. limitation, damages for loss of business profit, business
  48. interruption, loss of business information, or any other
  49. financial loss) arising out of the use or inability to
  50. use any of the Setup SOFTWARE provided.  These terms apply
  51. even if Io Development has been advised of the possibility
  52. of such damages.

  55. EXCLUSIVE REMEDIES
  56.  
  57. Io Development's entire liability and your exclusive remedy
  58. shall not exceed the price paid to Io Development for the
  59. SOFTWARE.

  62. SOFTWARE LICENCE
  63.  
  64. 1. GRANT OF LICENCE.
  65. Io Development grants you (one designated individual), the
  66. right to use the Message Pad v1.0 Setup SOFTWARE and the
  67. data contained, in the manner provided below:
  68.  
  69. (A) A single-user licence permits you (one designated
  70. individual) to use the program on any computer system for
  71. accessing and using the SOFTWARE.
  72.  
  73. (B) Each licensed user may make an unlimited number of
  74. copies of any material from the SOFTWARE if such copies
  75. shall be used only for internal purposes and are not
  76. republished or distributed (either in hardcopy or
  77. electronic form) beyond the user's premises.

  79. (C) You may purchase additional single-user licences from
  80. Io Development to permit additional individuals to install
  81. and use the SOFTWARE.  If additional single-user licences
  82. for the SOFTWARE have been purchased, only the individuals
  83. for whom the licences have been purchased may use the
  84. SOFTWARE.

  86. 2. The SOFTWARE, including any images and text incorporated
  87. in the SOFTWARE, is owned by Io Development and is protected
  88. by United Kingdom and European copyright laws and
  89. international treaty provisions.  You may not reproduce or
  90. distribute any part of the SOFTWARE or any written materials
  91. accompanying the SOFTWARE except as otherwise provided
  92. herein.

  94. 3. OTHER RESTRICTIONS
  95. You may not rent or lease the SOFTWARE.  You may make a
  96. permanent transfer of the SOFTWARE by providing Io Development
  97. written notice of your name and address, and the name and
  98. address of the person to whom you are transferring the rights
  99. granted herein.  In case of a transfer, you may not retain
  100. copies of the SOFTWARE and accompanying written materials,
  101. and the recipient must agree to the terms of this Agreement.
